General Terms and Conditions of Sale (T&Cs)

1. Purpose

These General Terms and Conditions of Sale (hereinafter referred to as “T&Cs”) govern the contractual relationship between [Your Company Name] (hereinafter referred to as “the Company”) and its clients (hereinafter referred to as “the Client”). They apply to:

1.1 The rental of spaces and equipment offered by the Company, including music, photo, and video studios located at Rue de Bourgogne 23, 1203 Geneva, Switzerland.

1.2 The provision of technical and artistic services in the fields of music, photography, video, and other similar services.

1.3 Communication agency services, including, but not limited to, the design and implementation of campaigns, outdoor shoots, content management, and strategic consulting.

2. Acceptance of T&Cs and Contractual Commitment

2.1 Any order, reservation, or service implies full acceptance of these T&Cs.

2.2 Validation of a quote by signature or payment of an invoice constitutes full and unconditional acceptance of the T&Cs by the Client. In the absence of a signature, full or partial payment serves as implicit acceptance of the terms of the quote and the T&Cs.

2.3 In cases where a quote explicitly states “to be signed,” payment in full or in part by the Client shall constitute contractual agreement, including for the specific clauses mentioned in the quote.

3. Quotes, Reservations, and Validity

3.1 Quotes issued by the Company are valid for a period of 14 days from their issuance, unless otherwise specified in the quote.

3.2 Any reservation or service becomes firm and confirmed only after receipt of a deposit of at least 50% of the total amount indicated in the quote.

3.3 Once the quote is confirmed or signed by the Client, or after payment of the deposit mentioned in Article 3.2, the total amount of the service or reservation becomes due, including in the event of cancellation, in accordance with Article 6 of these T&Cs.

3.4 Any modification of a reservation or quote must be approved in writing by the Company and may result in an adjustment of deadlines and fees.

4. Rental of Spaces and Equipment

4.1 The rental of spaces and equipment is granted for a specific duration indicated in the quote or invoice. Any use exceeding this duration will be billed at the applicable rates.

4.2 The Client is responsible for the use of the spaces and equipment during the rental period, including any damages caused.

4.3 The spaces must be returned in the condition in which they were provided. If this obligation is not met:

• A standard cleaning fee of 150 CHF will be charged if the space is left dirty or disorganized.

• In the event of material damage, the Client will be responsible for the full cost of repairing or replacing the damaged equipment or installations.

• Colored backdrops (paper or fabric) will be charged at a rate of 150 CHF per backdrop if cut or soiled by the Client.

• If traces are left on the cyclorama requiring repair or restoration, the Client will be required to pay a fixed fee of 1,000 CHF.

5. Technical, Artistic, and Communication Services

5.1 Services are carried out in accordance with the terms validated in the quote or invoice.

5.2 For communication agency services (including outdoor shoots), the Client must provide all necessary information for their completion. Delays in providing this information may result in additional costs and/or postponed deadlines.

5.3 The Company reserves the right to refuse any service that conflicts with its values or applicable Swiss laws.

6. Cancellation and Termination

6.1 Any cancellation of a reservation or service must be notified to the Company in writing.

6.2 In the event of cancellation by the Client, the following fees will apply, depending on the cancellation date relative to the scheduled service or rental date:

• Cancellation 31 days or more before the scheduled date: no fee will be charged.

• Cancellation between 14 and 30 days before the scheduled date: 35% of the total amount of the service or reservation will be charged.

• Cancellation between 7 and 13 days before the scheduled date: 50% of the total amount of the service or reservation will be charged.

• Cancellation between 48 hours and 6 days before the scheduled date: 75% of the total amount of the service or reservation will be charged.

• Cancellation less than 48 hours before the scheduled date: 100% of the total amount of the service or reservation will be charged.

6.3 The Company reserves the right to terminate a contract or reservation in the event of non-compliance with these T&Cs by the Client.

7. Pricing, Payments, and Invoicing

7.1 The prices applied are those mentioned in the quote or invoice. Unless otherwise stated, amounts are expressed in Swiss francs (CHF) and include the applicable VAT, in accordance with current regulations.

7.2 Costs incurred by the Company for external or specific services (e.g., equipment rental or travel for a shoot) will be invoiced to the Client.

7.3 The balance is due at the end of the service or rental period. Any late payment will incur penalties calculated at the legal Swiss rate.

7.4 By making full or partial payment, the Client acknowledges acceptance of the T&Cs in their entirety, as well as all specific conditions mentioned in the quote or invoice.

7.5 The Company reserves the right to transfer any unpaid amounts to a debt collection agency.

8. Liability and Insurance

8.1 The Company shall not be held liable for damages resulting from improper use of the spaces or equipment by the Client.

8.2 Any authorization required for shoots on public property (e.g., municipal or administrative permits) is at the Client’s expense.

8.3 The Company disclaims any liability for loss or damage to the Client’s personal belongings.

9. Confidentiality and Intellectual Property

9.1 All information exchanged between the Parties in connection with the service is confidential.

9.2 Works created by the Company remain its property until full payment for the service is received.

9.3 The Client authorizes the Company to use excerpts of their work for promotional purposes, unless otherwise requested in writing by the Client.

10. Applicable Law and Dispute Resolution

10.1 These T&Cs are governed by Swiss law.

10.2 Any dispute shall be submitted to the competent courts of the canton of Geneva, unless otherwise required by mandatory legal provisions.

11. Effective Date

These T&Cs are effective as of 27 November 2024 and cancel and replace any prior version

By signing these General Terms and Conditions of Sale (GTC), the Client confirms having read and unreservedly accepted the terms of this document as well as the terms of the quote or invoice to which these GTC are attached. Upon signature, the quote or invoice is deemed accepted and contractually binds the Client.
